Welcome to Aura Pixelfy. These Terms and Conditions (“Terms”) govern the use of the subscription-based digital marketing services (“Services”) provided by Aura Pixelfy (“Company”, “we”, “our”, or “us”). By subscribing to and using our Services, you (“Subscriber”, “you”, “your”) agree to be bound by these Terms.

1. Service Overview

1.1 The Company provides a subscription-based marketing system that utilizes artificial intelligence (AI), automation, and scheduling tools to assist businesses in attracting potential clients and optimizing their marketing operations.

1.2 The Services include but are not limited to:

  • AI-assisted content creation and optimization.

  • Automated posting, scheduling, and campaign management.

  • Analytics, lead capture, and reporting tools.

  • Audience targeting and engagement assistance.

  • Reputation management.

1.3 The Company’s role is to attract potential clients on behalf of the Subscriber’s business. The Company does not guarantee sales or secured clients. The Subscriber acknowledges and accepts that results may vary and are dependent on numerous factors outside the Company’s control.

2. Eligibility and Scope of Use

2.1 The Services are available only to businesses legally registered and authorized to operate in their respective jurisdictions.

2.2 A subscription is valid solely for the business entity listed on the account. Use of the Services for any other business, entity, affiliate, or third party is strictly prohibited unless expressly authorized in writing by the Company.

2.3 Subscribers are responsible for ensuring that their use of the Services complies with applicable laws, regulations, and ethical business practices.

3. Subscription and Payment Terms

3.1 Subscriptions are offered on a recurring basis (monthly and/or annually), as selected by the Subscriber upon joining.

3.2 By subscribing, the Subscriber authorizes the Company (or its payment processors) to automatically charge the applicable subscription fees to the payment method provided.

3.3 All fees are due in advance of the subscription period. Fees are non-refundable, except as required by law or as otherwise expressly stated in these Terms.

3.4 Missed Payments:

  • If a payment is unsuccessful (due to non-payment, insufficient funds, expired card, etc.), the Subscriber will be notified. 

  • If the outstanding payment is not resolved within 7 days of the due date, the Subscriber’s access to the system and Services will be paused/suspended until the balance is paid in full.

  • Continued failure to pay may result in termination of the account and forfeiture of any stored data or campaigns.

3.5 The Company reserves the right to change subscription fees or introduce new charges upon providing at least 30 days’ prior notice to Subscribers.

4. Refunds, Trials, and Early Termination

4.1 Refund Policy:

  • All payments made are non-refundable, except where otherwise required by applicable law.

  • Refunds will not be issued for partial subscription periods, unused features, or lack of business results.

4.2 Free Trials:

  • The Company may offer limited-time free trials at its discretion.

  • At the end of the trial, unless canceled prior to expiration, the Subscriber’s chosen payment method will be automatically charged for the applicable subscription.

4.3 Early Termination:

  • If a Subscriber chooses to terminate their subscription before the end of a paid billing cycle, no refunds will be issued for the remaining period.

  • In cases where a Subscriber has committed to a fixed-term subscription (e.g., annual plan), early termination may incur additional fees or forfeiture of prepaid amounts.

  • In the event of early termination, the Subscriber will have access to the Service for the remaining time allocated by their subscription, after which their access to the Services will be frozen/suspended until their account has been re-activated.

4.4 Money-Back Guarantees (if applicable):

  • If the Company offers a money-back guarantee, its conditions will be clearly outlined at the time of purchase. Outside of such stated guarantees, no refunds or credits will apply.

5. Fair Use & Restrictions

5.1 Subscribers must use the Services reasonably, in good faith, and only for their intended business purpose.

5.2 Prohibited uses include, but are not limited to:

  • Reselling, sublicensing, or redistributing the Services to third parties without written authorization.

  • Using the Services to generate or distribute spam, unsolicited bulk communications, or misleading/fraudulent advertising.

  • Excessive or abusive use of system resources (e.g., mass automation beyond reasonable limits, disproportionate API requests, or activity that disrupts system stability).

  • Uploading or transmitting harmful code, malware, or content designed to disrupt or damage networks or systems.

  • Attempting to reverse engineer, copy, or replicate the Company’s proprietary software or AI tools.

5.3 The Company reserves the right to monitor usage patterns to ensure compliance with this Fair Use Policy and may suspend or terminate accounts found in violation.

6. Service Access and Availability

6.1 The Company aims to provide continuous access to the Services but does not guarantee uninterrupted or error-free operation.

6.2 Scheduled maintenance, system updates, and unforeseen technical issues may temporarily affect availability. The Company will use reasonable efforts to minimize disruptions.

6.3 The Company reserves the right to update, modify, or discontinue any feature of the Services at its discretion, provided such changes do not materially degrade the overall functionality.

7. Subscriber Responsibilities

7.1 The Subscriber must provide accurate, current, and complete information when registering and throughout the subscription period.

7.2 The Subscriber is solely responsible for:

  • Creating, approving, and publishing content through the Services.

  • Ensuring that all uploaded materials comply with intellectual property rights, advertising regulations, and community guidelines of third-party platforms.

  • Maintaining the confidentiality of login credentials and preventing unauthorized use of their account.

7.3 The Subscriber agrees not to use the Services for unlawful, misleading, defamatory, or fraudulent purposes.

8. AI and Automation Disclaimer

8.1 The Services incorporate artificial intelligence and automated tools that operate based on algorithms and data inputs.

8.2 While these tools are designed to enhance marketing efforts, the Company does not guarantee accuracy, error-free output, or specific business outcomes.

8.3 The Subscriber assumes responsibility for reviewing, approving, and ensuring the appropriateness of all AI-generated or automated materials before publication.

9. Intellectual Property

9.1 All software, algorithms, AI models, automation systems, and proprietary tools used in the Services remain the exclusive property of the Company.

9.2 The Subscriber is granted a non-exclusive, non-transferable, revocable license to access and use the Services during their active subscription.

9.3 Subscriber-generated content remains the property of the Subscriber. However, by using the Services, the Subscriber grants the Company a limited license to process, store, and display such content solely for the purpose of providing the Services.

10. Limitation of Liability

10.1 To the fullest extent permitted by law, the Company shall not be held liable for:

  • Any business losses, lost profits, or indirect damages arising from the use of the Services.

  • Failure to secure clients, generate sales, or achieve specific business outcomes.

  • Service interruptions, errors, or third-party platform restrictions.

10.2 The Subscriber acknowledges that marketing outcomes depend on various factors, including industry competition, customer behavior, and external market conditions, which are beyond the Company’s control.

11. Termination and Suspension

11.1 The Subscriber may cancel their subscription at any time, subject to any minimum commitment periods agreed upon. Cancellation does not entitle the Subscriber to refunds for unused time.

11.2 The Company reserves the right to suspend or terminate a subscription immediately if the Subscriber:

  • Violates these Terms.

  • Engages in fraudulent, unlawful, or abusive conduct.

  • Fails to resolve missed payments within the specified grace period.

11.3 Upon termination, the Subscriber’s access to the Services will cease, and any stored campaigns or data may be deleted.

12. Data Protection and Privacy

12.1 The Company processes personal and business data in accordance with its Privacy Policy, which forms part of these Terms.

12.2 The Subscriber retains ownership of all customer data but grants the Company limited rights to process such data strictly for the purposes of delivering the Services.

12.3 The Subscriber is responsible for ensuring that their use of the Services complies with data protection laws applicable to their jurisdiction.

13. Governing Law and Dispute Resolution

13.1 These Terms shall be governed by and construed in accordance with the laws of South Africa.

13.2 Any disputes shall first be attempted to be resolved amicably. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of South Africa.

14. Amendments

The Company may update these Terms from time to time. Subscribers will be notified of significant changes, and continued use of the Services constitutes acceptance of the updated Terms.
